YesTechie Corp ("YesTechie," "we," "us," or "our") provides professional installation, deployment, configuration, integration, training, maintenance, and support services for IT, networking, physical security, low-voltage, and related systems.

These Terms of Service ("Terms") govern your access to and use of our website at https://yestechie.com (the "Site") and the provision of Professional Services. These Terms do not apply to any software platforms, SaaS solutions, edge AI systems, dashboards, or related technology offerings (including services accessible via gits.yestechie.com, api.yestechie.com, or any custom software solutions). Such offerings are governed exclusively by separate written agreements.

By submitting a request through the Site, accepting a Service Order, or engaging YesTechie for Professional Services, you agree to be bound by these Terms. If you are accepting on behalf of an organization, you represent and warrant that you have the authority to bind that organization.

1. Professional Services and Service Orders

Professional Services consisting of system design, installation, configuration, integration, deployment, training, and related labor are provided exclusively under Service Orders (YesTechie’s standard form of quote or proposal).

Each Service Order describes the scope of work, equipment, labor, timing, pricing, and deliverables. These Terms apply to all Service Orders unless modified by a separate Service Agreement.

If you require custom terms, different payment schedules, additional requirements, or other modifications for professional installation or deployment work, you may request a Service Agreement. Upon mutual execution, the Service Agreement will control and override any conflicting default terms in these Terms or the Service Order with respect to the services described in that Service Agreement.

No Professional Services will be performed without an accepted Service Order or executed Service Agreement.

2. Support Services and Managed IT

Support services, including but not limited to pay-per-visit service calls, hourly remote support, monthly managed IT plans, ongoing maintenance, monitoring, and any other support arrangements, are provided exclusively under a Service Agreement.

Any such Service Agreement will specify the scope of support, applicable service levels (SLAs), response times, pricing, payment schedules, and other terms and conditions. No support or managed services will be provided without a current, executed Service Agreement in place.

3. Default Payment Terms

Unless a Service Order or Service Agreement specifies different payment terms, the following default payment terms apply:

  • Non-Refundable Deposit: A non-refundable deposit is required and must be paid in full upon acceptance of the Service Order and prior to the procurement of any equipment, materials, or the commencement of any labor. The deposit covers the full cost of all equipment and materials specified in the Service Order, plus ten percent (10%) of the labor portion. YesTechie acts as the procurement agent for the Client and guarantees that all equipment and materials specified in the Service Order will be fully provisioned, delivered, and dedicated to the Client’s project upon receipt of the deposit. The deposit is strictly non-refundable as it secures hardware allocation, ordering, and project scheduling.
  • Remaining Balance: The remaining balance (ninety percent of the labor portion) is due and payable on the same day the physical installation is complete, and the system is verified as fully operational by YesTechie engineers. This is a Net 0 payment term. Client onboarding, technical training, and the final transfer of system account ownership/credentials are provided as a complimentary service by YesTechie. This complimentary onboarding and training will be scheduled and executed exclusively after the final balance payment has been received and cleared in full.

You agree to make all payments when due. Failure to pay amounts when due may result in delay or suspension of work and collection efforts, including reasonable attorneys’ fees and costs.

4. Warranties

Labor Warranty. YesTechie provides a limited warranty of six (6) months from the date of completion on all workmanship and labor performed under a Service Order or Service Agreement. This warranty covers defects in the installation or configuration work performed by YesTechie personnel. 

This labor warranty does not cover any damage, defect, or issue caused by the client, the client’s personnel or contractors, misuse, negligence, unauthorized modifications, tampering, Acts of God, or any other cause outside YesTechie’s reasonable control. 

Equipment Warranty. All equipment supplied is covered solely by the applicable manufacturer’s standard warranty. YesTechie provides no additional warranty, express or implied, on any equipment. Equipment warranty claims must be handled directly with the manufacturer. If the Client requests YesTechie’s assistance with hardware diagnostics, decommissioning, handling the RMA process, or re-installing replacement manufacturer hardware, such services are not covered under YesTechie's labor warranty and will be billed as a separate, billable Service Call or remote support hours.

5. Limitation of Liability for Equipment and Systems

YesTechie shall have no liability whatsoever for any equipment failure, malfunction, downtime, performance degradation, security incident, data loss, or other issue related to equipment or systems unless YesTechie has expressly agreed in a current Service Agreement to provide ongoing support, monitoring, replacement parts, or management services covering that specific equipment or system.

You acknowledge that security, networking, and IT systems have inherent limitations. YesTechie does not guarantee uninterrupted operation, detection accuracy, or prevention of all incidents. You remain solely responsible for maintaining appropriate human oversight, response procedures, and backup measures.

6. Our Personnel and Work Practices

All Professional Services and support services are performed by personnel who are properly licensed, certified, and trained for the work being performed. YesTechie follows industry-standard security practices, safety procedures, and quality standards in the delivery of all services.

7. Client Responsibilities

You agree to:

  • Provide timely access, accurate information, and reasonable cooperation necessary for YesTechie to perform the services.
  • Ensure that your personnel and any third parties do not damage, misuse, or interfere with equipment or systems installed or supported by YesTechie.
  • Comply with all applicable laws, including those related to privacy and surveillance.
  • Pay all amounts due according to the applicable Service Order or Service Agreement.

8. Disclaimers

Except for the limited labor warranty expressly stated above, all Professional Services, support services, and deliverables are provided “AS IS” without warranties of any kind, whether express or implied, including merchantability or fitness for a particular purpose.

YesTechie does not warrant that any system will operate without interruption, be completely secure, or achieve any specific security or operational result beyond what is expressly stated in the applicable Service Order or Service Agreement.

9. Limitation of Liability

To the maximum extent permitted by law, YesTechie’s total aggregate liability arising out of or related to these Terms, any Service Order, or any Professional Services shall not exceed the total amounts actually paid by you to YesTechie under the applicable Service Order or Service Agreement during the twelve (12) months preceding the claim.

In no event shall YesTechie be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including lost profits, lost data, or business interruption, regardless of the cause or legal theory.

These limitations shall not apply to liability arising from YesTechie’s gross negligence or willful misconduct.

10. Indemnification

You agree to indemnify, defend, and hold harmless YesTechie and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to your breach of these Terms or any Service Order or Service Agreement, your misuse of any equipment or system, or your violation of applicable law.

11. Term and Termination

These Terms remain in effect until terminated. Either party may terminate for material breach upon thirty (30) days’ written notice if the breach is not cured within that period.

Termination of these Terms does not affect any active Service Orders or Service Agreements, which shall continue according to their own terms until completed or terminated in accordance with their provisions.

12. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of California. Any dispute shall be resolved exclusively in the state or federal courts located in Los Angeles County, California. You consent to the jurisdiction of such courts.

13. Changes to These Terms

YesTechie may update these Terms from time to time. Updated Terms will be posted on the Site with a new effective date. Material changes will be communicated to clients with active Service Orders or Service Agreements where reasonably practicable. Continued engagement after the effective date constitutes acceptance of the updated Terms.

14. Miscellaneous

These Terms, together with any applicable Service Order or Service Agreement, constitute the entire agreement between the parties and supersede all prior agreements regarding Professional Services. Your use of the Site and Services is also governed by our Privacy Policy (available at https://yestechie.com/privacy), which is expressly incorporated into these Terms by reference.

If any provision is found unenforceable, the remaining provisions shall remain in effect. No waiver shall be implied from conduct. You may not assign these Terms without YesTechie’s prior written consent. YesTechie may assign these Terms freely.

These Terms do not create any partnership, joint venture, or agency relationship.
